1. What are you buying?
The free diagnostic audit at mainstreetaiaudit.com is not the subject of these Terms. The audit is provided free of charge to anyone who submits a URL; no payment is required to access the audit or its results, and these Terms do not govern that interaction. These Terms govern the separately purchased paid services Provider offers — the $399 one-time implementation service and the optional monthly subscription monitoring plans (§1a) — each described below. Provider does not currently charge for the diagnostic audit and reserves the right to introduce additional optional paid services in the future, but any change to the diagnostic audit itself will not be applied retroactively to audits already requested or delivered.
The Service these Terms govern is a one-time AI-visibility fix for a single business website. Deliverables include JSON-LD schema, llms.txt, an FAQ section, and heading-structure cleanup on up to three priority pages, plus a before/after audit. Delivery target: 48 hours from CMS access granted.
What you are buying is the code change itself — the markup and structure that AI systems look for when deciding what to cite. You are not buying a guaranteed change in score, citation rate, ranking, or traffic. Those depend on third-party AI systems (ChatGPT, Claude, Perplexity, Gemini) that are outside Provider's control. See §3 for the full liability disclaimer.
1a. Subscription monitoring plans
In addition to the one-time fix, Provider offers optional monthly subscription plans (currently "Starter," "Growth," and "Pro") providing recurring AI-visibility monitoring and related services. The specific features listed for each plan at the point of sale describe the plan's general scope on a best-effort basis — they are not a guaranteed schedule, cadence, or output.
- Provider may perform any plan feature manually, through automated tooling, or any combination, at its discretion. Words such as "automated," "monthly," or "ongoing" in marketing materials describe the intended scope and do not guarantee that a feature operates on a fixed schedule or without human involvement.
- Provider may substitute a feature of equivalent or greater value where reasonable, and may add, modify, or discontinue plan features prospectively. The features in effect at the start of a billing period govern that period.
- Scheduled items (re-audits, reports, benchmarks, onboarding or strategy calls) are targets, not deadlines; occasional variation or delay in timing does not constitute a breach.
- Every disclaimer in §3 applies equally to subscription plans — including the absence of any guarantee of search ranking, AI citation rate, traffic, or revenue, and the "as is"/"as available" provision. AI systems are third-party platforms outside Provider's control.
Subscription billing, automatic renewal, and cancellation are governed by §3b. The re-audit warranty in §3a applies to the $399 one-time fix and is separate from any re-audit included in a subscription plan.
2. What does the customer need to do?
Customer must:
- provide an accurate site URL and working CMS admin access;
- confirm in writing that Customer owns the site or has authority to authorize changes;
- back up the site before granting access, or accept responsibility for restoration costs;
- disclose any active development or agency work, or known technical constraints;
- review the delivered work within 14 days of delivery.
3. How is liability limited?
To the maximum extent permitted by law:
- Provider's total cumulative liability arising out of or relating to the Service is capped at the amount actually paid for the most recent billing period — meaning either the $399 one-time fix fee or the current monthly charge for an active subscription, whichever applies — whether the claim sounds in contract, tort, negligence, statute, or otherwise.
- Provider has no liability for indirect, incidental, consequential, special, exemplary, or punitive damages, including without limitation lost revenue, lost profits, lost rankings, lost search traffic, lost customers, lost data, business interruption, reputational harm, or the cost of substitute services — even if Provider has been advised of the possibility of such damages.
- The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including without limitation merchantability, fitness for a particular purpose, and non-infringement.
- Provider makes no guarantee of specific search rankings, citation rates from any AI system (including ChatGPT, Claude, Perplexity, or Gemini), traffic, or revenue. AI systems are third-party platforms outside Provider's control.
3a. 30-day re-audit (included)
Thirty days after delivery, Provider will re-run the same audit on the delivered site and email Customer the before/after comparison. If a structural fix that Provider delivered (a JSON-LD schema block, an FAQ section, a heading-hierarchy change, or an llms.txt entry that was part of the delivered scope) is found by the re-audit to no longer be present, or to be malformed in a way that prevents it from parsing as intended, Provider will re-apply that specific fix at no additional charge.
This re-audit warranty is limited to the structural elements Provider delivered. It does NOT cover: third-party AI citation outcomes (see §3), changes Customer or Customer's contractors made to the site after delivery, host or CMS migrations, or new content added by Customer after delivery. The re-audit is the sole and exclusive remedy under this clause and does not waive any limitations of liability set forth in §3.
3b. Auto-renewal & cancellation
Monthly subscription plans renew automatically each calendar month at the price shown at signup until you cancel. Cancel anytime by replying to any email from us or by emailing support@mainstreetaiaudit.com; where a self-service billing-portal link is provided in your welcome email, you may also cancel there. Cancellation takes effect at the end of the current billing period. We do not prorate partial months. Monthly charges already paid for the current period are non-refundable. The $399 one-time fix is not a subscription and is governed by §3a above.
4. How is site access handled?
Credentials supplied by Customer will be used solely for the Service. Provider will not access areas of Customer's systems beyond what is needed to perform the Service, will not store credentials beyond the engagement, and recommends that Customer change all relevant passwords upon delivery. Customer remains responsible for the site's own backups, security posture, pre-existing vulnerabilities, third-party plugins, hosting issues, and any compromise that occurs via credentials Customer continues to share with others.
5. Indemnification
Customer agrees to indemnify, defend, and hold harmless Impact Development Consulting LLC and its members, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Customer's breach of these Terms;
- Customer's misrepresentation of site ownership or authority;
- third-party claims about content Customer requests be added or maintained;
- Customer's use of the delivered work in ways not contemplated by the Service.
6. Intellectual property
On full payment, Customer owns the delivered code, markup, and content for use on Customer's site. Provider retains the right to use anonymized, aggregated audit data — containing no personally identifiable information — for service improvement and benchmarking. Public case-study references will only be made with Customer's written permission.
7. Can I cancel?
Customer may cancel for a full refund at any time before implementation begins. Once implementation has started — typically within 24 hours of CMS access being granted — the Service is non-cancellable.
Late-delivery refund. Provider targets 48 hours from receipt of CMS access. If delivery has not occurred within 7 calendar days of CMS access being granted, Customer may request a full refund. This is the sole and exclusive remedy for late delivery and does not waive any limitations of liability set forth in §3.
8. Governing law and disputes
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law principles. The exclusive jurisdiction and venue for any dispute arising out of or related to these Terms or the Service shall be the state and federal courts located in Pinellas County, Florida. The prevailing party in any such dispute shall be entitled to recover reasonable attorneys' fees and costs.
9. How can these Terms change?
Provider may update these Terms from time to time. The version in effect at the time of purchase governs that purchase. Continued use of the Service after an update constitutes acceptance of the revised Terms.
